If VB IS USED WON'T ONE HAVE TO HAVE THE VB ENGINE INSTALLED? Also changing the code would require VB ?

If you were to follow Kaustubha Govind's suggestion of creating a COM component and calling it from MATLAB, then you would need the VB engine installed.
However, I believe the original poster was hoping that there was a program that could read in VB source and output equivalent MATLAB source that did not use VB at all.

You should probably just create a COM component from your Visual Basic code and call it from MATLAB. See Running VB code in Matlab.
